Services
Scope of Activities
50/50 identifies, evaluates, and pursues opportunities to acquire, invest in, partner with, or support established businesses. Our activities may include business review, transition planning, operational assessment, strategic advisory, diligence, partnership structuring, and long-term ownership planning.
Any formal acquisition, investment, advisory, or partnership relationship will be governed by separate written agreements signed by the relevant parties.
Introductory Conversations
Initial calls, meetings, emails, or other communications with 50/50 are exploratory in nature and do not create a binding agreement, fiduciary relationship, advisory relationship, acquisition obligation, investment commitment, or partnership.
No business relationship is established unless and until both parties enter into a signed written agreement.
Information Submitted to 50/50
You may choose to submit information about yourself, your business, or a potential opportunity through our website, email, or other communications. By submitting information, you represent that you have the right to share it and that the information provided is accurate to the best of your knowledge.
Submitting information to 50/50 does not guarantee a response, meeting, offer, investment, acquisition, or transaction.
Engagement Terms
Business Owner Discussions
50/50 may speak with business owners who are considering retirement, succession planning, outside investment, a sale, or a long-term operating partner. These conversations are confidential and exploratory unless otherwise agreed in writing.
Any indication of interest, valuation discussion, proposed structure, or transaction concept is non-binding unless expressly stated in a signed agreement.
Acquisition or Investment Opportunities
Any potential acquisition, investment, or partnership opportunity is subject to further review, diligence, negotiation, financing, legal documentation, and final approval by 50/50 and any applicable counterparties.
50/50 is under no obligation to pursue, complete, or continue discussions regarding any transaction.
Advisory or Support Services
In certain situations, 50/50 may provide strategic, operational, or transition-related support to a business. Any such engagement, including scope, fees, timeline, responsibilities, and deliverables, will be defined in a separate written agreement or Statement of Work.
Fees and Payment
Transaction-Related Costs
Unless otherwise agreed in writing, each party is responsible for its own legal, accounting, tax, diligence, advisory, and other professional costs incurred in connection with any potential transaction or discussion.
Advisory Fees
If 50/50 provides paid advisory, consulting, or operational support services, all fees, payment terms, and expenses will be outlined in a separate written agreement.
Third-Party Expenses
Any third-party expenses to be reimbursed by a client or counterparty must be approved in writing before being incurred, unless otherwise stated in a signed agreement.
Intellectual Property
50/50 Materials
All content, materials, frameworks, website copy, graphics, logos, processes, templates, analyses, and other materials created or provided by 50/50 remain the property of 50/50 unless otherwise agreed in writing.
You may not copy, reproduce, distribute, modify, or use 50/50 materials for commercial purposes without our prior written consent.
Submitted Materials
You retain ownership of information, documents, and materials you submit to 50/50. By submitting materials, you grant 50/50 the right to review, analyze, store, and use such materials solely for the purpose of evaluating a potential relationship, transaction, partnership, or engagement.
Portfolio and References
50/50 will not publicly identify a business owner, company, transaction, or confidential engagement without prior permission, unless the information is already publicly available or disclosure is required by law.
Confidentiality
Mutual Confidentiality
Both parties agree to treat non-public, proprietary, or sensitive information shared during discussions as confidential. This may include financial information, customer information, employee information, operating data, business plans, transaction discussions, and other materials not generally available to the public.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, received from a third party without breach of duty, or required to be disclosed by law.
Warranties and Limitations
No Guarantee of Transaction
50/50 does not guarantee that any discussion will result in an offer, investment, acquisition, partnership, advisory engagement, or completed transaction. All opportunities are evaluated on a case-by-case basis.
No Professional Advice
Materials and communications provided by 50/50 are for informational and business discussion purposes only. They do not constitute legal, tax, accounting, financial, or investment advice. You should consult your own professional advisors before making any transaction, ownership, tax, legal, or financial decisions.

Ending Discussions
Either party may end exploratory discussions at any time, for any reason, unless otherwise stated in a signed written agreement.
Effect of Termination
Upon termination of discussions or an engagement, each party will continue to honor any confidentiality, intellectual property, payment, and legal obligations that survive termination under these Terms or any applicable written agreement.
